Unable to update version from 2.1.3 to 3.2.2

Please help. I tried to upload the zip folder and this is the message I got "Unpacking the package…
Installing the theme…
Destination folder already exists. /home/wwwdomai/public_html/wp-content/themes/colorwaytheme/
Theme install failed."

Thank you. Are you saying that none of my content or custimized pictures, navigation etc will be fine doing this? I just want to be 1000% sure this will not break the hard work and investment we have in the site. After all, it is our business. Thank you Piyush

If you have make change in .php files then you will loss your changes.Your theme option content and custom CSS will remain intact.
